Published: 2023-05-23

The leading betting and gaming company that is globally recognized with its brands that include Mr Green, William Hill and 888, 888 Holdings Plc, announced it has come to an agreement to sell its Latvian-facing business. In a deal for some €28.3 million ($30.6 million), the company agreed to sell its Latvian business to Paf Consulting abp.

The multi-million-dollar acquisition of 888's Latvian-facing businesses is expected to close soon

A breakdown of the price tag of the deal reveals that €24 million ($26 million) will be paid in cash upon completion of the transaction on a cash-free debt-free basis. Separately, in 2024, another payment of up to €4.25 million ($4.6 million) will be completed contingent on the 2023 audited financials from 888’s Latvian businesses.

The deal, which was announced Monday, is expected to be closed in the coming weeks. Upon completion, Paf will acquire 100% of 888’s Latvian-facing businesses. Still, it’s important to mention that the Group owns “90% of the entity and the consideration will be used for general corporate purposes,” explains a statement released by 888. However, the business operates largely as an independent entity, with its own management team and on a separate technology platform. As such, 888 does not expect the transaction to have any impact on the ongoing operations.

Completion of the deal is subject to a number of closing conditions. These include the carving out of the Latvian subsidiary from 888’s supplier contracts and incorporation of the Latvian subsidiary into Paf’s contracts.

The Latvian business is a high-quality, locally regulated business, with an excellent team that has built a strong market position. I would like to express my sincere thanks to the team for their dedication during their time with the group and I am highly confident that under new ownership with Paf, the business will continue to flourish.” Paf chief executive Christer Fahlstedt added

In Estonia, purchasing lottery tickets, placing sports bets, or playing casino games is permitted from the age of 21. Nevertheless, according to a study commissioned by the Gambling Addiction Counseling Center and conducted by Kantar Emor, 59 percent of respondents aged 15-20 have had contact with gambling. Furthermore, 47 percent of 15-19-year-olds who had gambled in the past two years were also in the at-risk group, indicating that gambling had caused them some problems or that they were pathological gamblers.

According to Silver Sternfeldt, the CEO of the Gambling Addiction Counseling Center (HNK), over one hundred thousand people are in the “at-risk” group, Estonia ranks first among European countries with gambling problems. Sternfeldt attributes this to societal attitudes toward gambling.

As a society, we have not yet reached a point where we know how to gamble responsibly or demand responsible gambling operations.

The Ineffectiveness of Bans

Gambling providers are thriving, interest in gambling is high, and new online casinos are constantly entering the market. For example, last year, the difference between the stakes-placed and the winnings paid out in online gambling alone was €350 million. The state collected €48 million in gambling taxes over the year.

No operator is interested in having a gambling addict. This option exists and is used very actively; all operators impose internal restrictions within their organizations to prevent compulsive gamblers from playing.

Victoria makes changes to online gambling account rules

The inquiry represents the latest step in Victoria’s ongoing efforts to improve regulations for gambling.

In April, the VGCCC confirmed changes to rules for online gambling accounts in the state. This includes how players view their spending and losses. These changes focus on how certain information is displayed to players within their online gambling accounts. This includes information on spending, with net loss now excluding free and bonus bets.

Meanwhile, net wins are now more accurate, with players’ monthly statements subtracting all stakes from their total payout amount. Licensees are also required to use plain English, avoid unnecessary jargon and limit the use of colours to black and red to clearly show losses. In addition, gambling harm messaging should feature on each monthly statement.

The Catalan Hockey Federation and Lotteries de Catalunya have renewed their collaboration agreement, an alliance that will continue until December 31, 2024.

This renewal has been signed by the director general of Lotteries de Catalunya, SAU (LCAT), Jaume Torradabella, and the president of the Catalan Hockey Federation, Xavier Adell.

Since its creation in 1987 and until 2021, all net income achieved by the management of the lottery game has been transferred to the Department of Social Rights to be allocated to programs for the care of children, old age and people with disabilities.

From 2022, these net revenues are transferred to the Fund for Prosperity and Social Cohesion to optimize the transparency and traceability of these resources. 100% of the profits from Lotteries de Catalunya go to the Fund for Prosperity and Social Cohesion of the Generalitat de Catalunya. This renewal will continue to be very positive for both entities, contributing to the growth of Catalan hockey and the well-being of the community.

The liquidator leaves the value of the Codere shares in the hands of the minorities at zero.

Shares of the Codere group in the hands of minority investors have been valued at zero euros. This situation also affects the warrants delivered to the shareholders of Codere SA, which allowed them to benefit from a future sale of the company. In 2021, Codere's financial restructuring resulted in the creation of a new corporate structure in Luxembourg, headed by Codere New Topco.

Through this restructuring, the bondholders acquired 95% of the capital, significantly diluting the participation of the minority shareholders of Codere SA, who were left with just 5% and some warrants.

These latter financial instruments had certain conditions: the capital value of Codere New Topco had to reach 220 million euros and an IPO, a sale or a merger had to take place within a period of 10 years

The 2023 accounts of Codere SA, prepared by its liquidator, show that the participation of minority shareholders, which in December 2021 had a fair value of 14 million euros, was reduced to 4.3 million a year later and is now has devalued to zero euros due to a new deterioration.

The value of the warrants, which were initially recorded as worth €21.3 million in 2021, has also been reduced to zero. The liquidator's accounts indicate that it is unlikely to reach a capital value of more than 220 million euros, so it has been decided to leave the net book value of the investment at 0 euros.
